Terms and Conditions
1) Acceptance of Terms
By accessing or using the Platform, you agree to these Terms and Conditions ("Terms"). If you do not agree, do not use the Platform.
2) Eligibility
You may use the Platform only if:
- You are at least 13 years old (or older if required by your jurisdiction), and
- You have legal capacity to enter into a binding agreement.
If you are below the age of majority, a parent or legal guardian must accept these Terms for you.
3) Service Description
The Platform provides tools to upload, migrate, host, process, and stream video content using distributed and multi-provider infrastructure.
You acknowledge that decentralized/distributed systems may involve:
- Replication/caching across multiple nodes/providers
- Variable latency and availability
- Delayed propagation/synchronization
- Provider-specific outages or limits
4) Accounts, Authentication, and Security
You are responsible for all activity under your account, including connected OAuth providers, API keys, and access tokens.
You must:
- Keep credentials confidential
- Use reasonable security practices
- Notify us promptly of unauthorized access
We may suspend accounts to protect security, legal compliance, or service integrity.
5) Third-Party Provider Integrations
The Platform may connect to third-party services (storage, migration, delivery, authentication). You are solely responsible for compliance with those third-party terms and API policies.
We are not liable for third-party outages, API changes, or account restrictions outside our control.
6) User Content Ownership and License
You retain ownership of your uploaded content (videos, thumbnails, metadata, titles, descriptions, tags, comments, and related assets) ("User Content").
By uploading/publishing User Content, you grant the Operator a worldwide, non-exclusive, royalty-free license to host, cache, copy, transcode, process, distribute, and display User Content solely to operate, secure, and improve the Platform.
This license ends within a commercially reasonable period after deletion, subject to backup cycles, legal holds, and technical retention.
7) Your Warranties About Content
You represent that you have all rights, licenses, permissions, and consents necessary to upload and share User Content.
You must not upload content that:
- Infringes intellectual property or privacy rights
- Is illegal, fraudulent, defamatory, or abusive
- Contains malware or harmful code
- Exploits minors
- Promotes violence, terrorism, or unlawful conduct
8) Prohibited Conduct
You agree not to:
- Bypass security, rate limits, or access controls
- Attempt unauthorized access to systems/accounts
- Scrape data unlawfully
- Manipulate engagement metrics using bots/fake traffic
- Mislead users through deceptive metadata or impersonation
9) Moderation and Takedown
We may remove, restrict, or disable access to content/accounts that violate these Terms, law, or safety requirements.
We may process valid legal requests, including copyright takedowns and law-enforcement requests.
10) Global Copyright and Intellectual Property Takedown Policy
We respect intellectual property rights and expect users of the Platform to do the same. This policy describes how copyright and other intellectual property complaints are handled on a global basis.
We respond to properly submitted notices of alleged infringement in accordance with applicable laws, including the U.S. Digital Millennium Copyright Act (DMCA), the EU Digital Services Act (DSA), and similar laws in other jurisdictions.
10.1) How to Submit a Notice of Alleged Infringement
If you believe that content available on the Platform infringes your copyright or other intellectual property rights, submit a written notice containing:
- Your full legal name and contact details (email and mailing address)
- Identification of the copyrighted work or other protected right
- Identification of the allegedly infringing material with enough detail to locate it
- A statement of good faith belief that use is unauthorized
- A statement that the information is accurate
- A statement under penalty of perjury (or equivalent local declaration) of authority
- Your physical or electronic signature
Notices that are incomplete or missing required information may not be processed.

10.3) Our Review and Action Process
Upon receipt of a valid notice:
- We review the submission for completeness
- We may remove or disable access to allegedly infringing content
- We may notify the user who uploaded the content
- We may request additional information if needed
10.4) Counter-Notification Process
If you believe content was removed or restricted by mistake or misidentification, you may submit a counter-notification with required legal declarations and your signature.
10.5) Repeat Infringer Policy
We maintain a policy of terminating user accounts, in appropriate circumstances, of users who are repeat infringers.
10.6) Misrepresentation
Any person who knowingly materially misrepresents infringement (or mistaken removal) may be liable for damages under applicable law.
10.7) Other Intellectual Property Rights
This policy may also apply to claims involving:
- Trademark rights
- Rights of publicity
- Database rights
- Other legally protected intellectual property rights
10.8) Transparency and Recordkeeping
We may:
- Maintain records of notices and counter-notices
- Share notice details with affected users
- Comply with lawful disclosure requests from authorities
- Publish anonymized transparency reports
10.9) Legal Compliance and Jurisdictional Variations
This policy is intended to comply with applicable safe harbor and intermediary liability frameworks worldwide. Rights and procedures may vary depending on local law.
10.10) Important Operational Requirements
- Register a designated DMCA agent with the U.S. Copyright Office
- Enforce repeat infringer policy consistently
- Act expeditiously on valid notices
- Maintain internal documentation of notices and responses
11) Intellectual Property
Except for User Content, all Platform software, branding, and documentation are owned by the Operator or its licensors and protected by law.
No ownership rights are transferred to you except a limited, revocable right to use the Platform under these Terms.
12) Privacy and Data Processing
Your use of the Platform is also governed by the Privacy Policy. By using the Platform, you acknowledge that data may be processed and stored across multiple regions/jurisdictions depending on infrastructure providers.
13) Availability and No Guarantee
The Platform is provided on an "as is" and "as available" basis. We do not guarantee uninterrupted, secure, or error-free operation.
14) Fees and Billing (If Applicable)
Paid features, if offered, will be presented with pricing and billing terms. Unless required by law, fees are non-refundable.
15) Termination
You may stop using the Platform at any time. We may suspend or terminate access for breaches of these Terms, abuse, security risks, or legal compliance reasons.
Sections that by nature should survive termination (e.g., IP, liability, indemnity, dispute resolution) remain effective.
16) Disclaimer of Warranties
To the maximum extent permitted by law, the Platform is provided without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and availability.
17) Limitation of Liability
To the maximum extent permitted by law, the Operator will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, goodwill, or business interruption.
Aggregate liability for any claim relating to these Terms will not exceed the amount you paid (if any) to use the Platform in the 12 months before the claim.
18) Indemnification
You agree to defend, indemnify, and hold harmless the Operator and affiliates from claims, damages, liabilities, and expenses arising from your content, use of the Platform, or violation of these Terms/law.
19) Governing Law and Disputes
These Terms are governed exclusively by applicable principles of international law, without regard to conflict-of-law rules.
Disputes will be resolved through a competent international dispute-resolution forum, unless mandatory law requires otherwise.
20) Changes to Terms
We may update these Terms from time to time. Material updates will be posted with a revised effective date. Continued use after updates constitutes acceptance of revised Terms.
